Terms of Service

These Terms of Service ("Terms") are a binding agreement between Summit Print Partners ("Summit", "we", "us", or "our") and the business entity and its authorized representatives ("Customer", "you", or "your") that access or use summitprintpartners.com (the "Site") or any of Summit's wholesale printing, fulfillment, and related services (collectively, the "Services"). By applying for a trade account, creating a login, submitting a quote request, uploading files, placing an order, or otherwise using the Site or Services, you represent that you have authority to bind the business you represent and you agree to these Terms on behalf of yourself and that business. Summit is a trade-only, business-to-business (B2B) wholesale printer. The Services are not offered to, and may not be used by, end consumers.

1. Trade Eligibility & Account Approval

Accounts are available to legitimate resellers, sign shops, print brokers, agencies, and similar trade businesses. You agree that all information you submit in your application and while using the Services is true, accurate, current, and complete, and that you will promptly update it when it changes. You agree that you will not resell Summit's identity or represent Summit as your customer-facing brand. We may:

• Request business registration, resale/tax certificates, website or storefront verification, credit references, and trade references, and verify any of the foregoing with third parties;
• Approve, place on limited access, suspend, or deny any application or account at our sole discretion, with or without notice; and
• Terminate accounts that misrepresent trade status, share credentials with end consumers, or otherwise violate these Terms.

Approval is not guaranteed. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2. Business Records, Data Collection & Consent to Retention

You acknowledge and agree that Summit's collection, storage, use, retention, and internal and external reporting of business information, contact information, order information, artwork, files, transaction data, financial data, and communications is a necessary and material part of the Services and a condition of doing business with Summit. You expressly consent to Summit's collection, storage, use, and retention of such information for the operational, business, legal, tax, accounting, security, fraud-prevention, record-keeping, and reporting purposes described in our Privacy Policy, which is incorporated by reference into these Terms.

You further acknowledge that Summit maintains books, records, audit logs, and internal reporting systems for the operation, management, financial reporting, insurance, and legal defense of its business, and that Summit may retain information about your business, your account, your users, and your orders as long as reasonably necessary for those purposes and as required by law, even after your account is closed or your relationship with Summit ends. Where you provide personal information about third parties (for example, in a mailing list or variable-data file), you represent and warrant that you have all rights and lawful bases necessary for Summit to receive, store, process, print, and ship that information on your behalf, and you will indemnify Summit for any breach of those representations.

3. White-Label / Blind Shipping

All orders ship blind by default: no Summit branding, invoices, or marketing materials appear in customer-bound packaging. You are the seller of record to your customer. Summit does not solicit or sell directly to your end customers.

4. Quotes, Orders & Pricing

• Online prices and quotes are for trade accounts only and are subject to change without notice.
• Quotes are valid for 30 days unless otherwise stated.
• Orders are accepted only after payment authorization (or approved credit) and approval of print-ready files or an approved proof, where applicable.
• Turnaround times are estimates that begin after file approval and successful payment. Turnaround does not include shipping transit time.

5. Artwork, Proofs & Content

• You are responsible for submitting print-ready files that meet our specifications (bleed, resolution, color mode, fonts).
• You represent and warrant that you own or have all necessary rights, licenses, permissions, and lawful bases to reproduce and print any content, images, marks, text, personal data, and mailing lists you submit, and you will indemnify Summit against claims arising from artwork or data you provide.
• Color reproduction may vary between substrates, runs, monitors, and printers. Absent a signed hard-copy proof or contract-color match, color variances within industry-standard tolerances are not defects.
• Once you approve a proof or waive proofing, you are responsible for content, spelling, layout, and color decisions.

6. Payment

• Payment is due at the time of order unless net terms have been separately approved in writing.
• Accepted methods: major credit cards, ACH, and other methods listed at checkout. Chargebacks initiated without first contacting Summit are a material breach of these Terms.
• Sales tax will be collected where required unless a valid resale certificate is on file for the shipping jurisdiction. You are responsible for the accuracy and validity of resale and exemption certificates you provide.
• Past-due balances may accrue a late fee of 1.5% per month (or the maximum allowed by law) and may result in account suspension. You agree to pay Summit's reasonable costs of collection, including attorneys' fees.

7. Shipping, Risk of Loss & Claims

• Shipping dates are estimates. Summit is not liable for carrier delays, weather, strikes, or other events outside our control.
• Title and risk of loss pass to you upon delivery to the carrier (FOB Origin).
• Freight damage or shortage must be noted with the carrier at delivery and reported to Summit within 5 business days.

8. Quality Guarantee, Reprints & Returns

• Claims for manufacturing defects must be submitted in writing within 7 business days of delivery, with photos and, where requested, return of defective product.
• Our sole liability for a manufacturing defect is, at Summit's option, a reprint of the affected portion or a credit up to the amount paid for that portion.
• Custom-printed goods are non-returnable. Approved proofs, customer-supplied files, and customer color choices are not eligible for reprint or refund.

9. Overs & Unders

Due to press setup, quantities may vary by up to 5% over or under the ordered quantity and will be considered a complete order.

10. Intellectual Property

You retain ownership of your artwork and brand assets. You grant Summit a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (for prepress and production purposes), and distribute your content solely to produce, deliver, reprint, and support your orders and to maintain the business, legal, backup, audit, and archival records described in these Terms and our Privacy Policy. Summit retains all rights in the Site, our software, product photography, templates, and marketing materials.

11. Prohibited Content & Use

You may not submit or request production of content that is unlawful, infringes third-party rights, promotes hate or violence, sexually exploits minors, or otherwise violates applicable law. Summit may refuse or cancel any order in its sole discretion.

12. Confidentiality

Summit will treat your files, customer information, and order details as confidential and use them only to fulfill your orders and operate our business, consistent with our Privacy Policy, these Terms, and applicable law.

13. Warranty Disclaimer

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SUMMIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMMIT'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO AN ORDER, THE SITE, THE SERVICES, OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM. SUMMIT IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, LOST PROFITS, LOST DATA, OR LOST BUSINESS DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Indemnification

You agree to indemnify, defend, and hold Summit and its officers, directors, employees, contractors, and agents harmless from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) artwork, files, data, or content you submit, (b) your resale of printed goods to your end customers, (c) your representations regarding rights, licenses, resale status, or third-party personal information, or (d) your violation of these Terms or applicable law.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction there. The prevailing party is entitled to reasonable attorneys' fees and costs. You and Summit each waive any right to a jury trial and any right to participate in a class or representative action.

17. Entire Agreement; Severability; Assignment

These Terms, together with our Privacy Policy and any order-specific documents you agree to, constitute the entire agreement between you and Summit regarding the Services and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. You may not assign these Terms without our written consent; Summit may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated "Last updated" date. Continued use of the Site or Services after changes take effect constitutes acceptance.
